1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you") and VectorLabs s.r.o., a company incorporated under the laws of the Czech Republic (IČO: 23149281), with its registered office at the address listed in the Czech Commercial Register ("VectorLabs," "we," "us").

By accessing or using JAX — our AI-powered product feedback platform available at getjax.app, including the Chrome extension, web dashboard, and all related services (collectively, the "Service") — you agree to be bound by these Terms. If you do not agree, do not use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

2. Description of the Service

JAX is an AI-powered product feedback platform that:

  • Provides a Chrome browser extension for capturing screenshots and contextual data (such as URL, viewport size, console logs, and network requests) from web applications.
  • Offers an AI-powered chat agent that helps users understand product behavior and report issues.
  • Integrates with third-party task management systems (such as Linear, Jira, and Asana) to create and manage issues on your behalf.
  • Provides a web dashboard for managing teams, reviewing feedback, and configuring integrations.

3. Account Registration

To use the Service, you must create an account via our authentication provider. You agree to:

  • Provide accurate and complete registration information.
  • Maintain the security of your account credentials and notify us immediately of any unauthorized use.
  • Be responsible for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights.
  • Capture screenshots or data from websites or applications you do not have authorization to test.
  • Upload, transmit, or store content that is unlawful, harmful, defamatory, or infringes on intellectual property rights.
  • Attempt to reverse-engineer, decompile, or disassemble any part of the Service.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Use the Service to build a competing product or for benchmarking purposes without prior written consent.
  • Circumvent any access controls, rate limits, or security measures.

5. User Content

"User Content" means any data, text, screenshots, images, bug reports, feedback, documentation, or other materials you submit to or through the Service.

Ownership. You retain all rights to your User Content. We do not claim ownership of any content you submit.

License. By submitting User Content, you grant VectorLabs a worldwide, non-exclusive, royalty-free license to use, process, store, and display your User Content solely as necessary to provide and improve the Service.

Responsibility. You are solely responsible for your User Content. You represent that you have all necessary rights to submit it and that it does not violate any third-party rights.

6. Chrome Extension

The JAX Chrome extension captures screenshots and contextual information (such as the current URL, viewport dimensions, browser console logs, and network request data) from web applications you are actively testing. By installing and using the extension, you acknowledge and agree that:

  • The extension only activates on web applications that have been registered in your JAX workspace by an administrator.
  • Screenshots and contextual data are transmitted to and stored on our servers for the purpose of providing the Service.
  • You are responsible for ensuring that any data captured does not include sensitive personal information (such as passwords, financial data, or health records) unless appropriate safeguards are in place.
  • You must have proper authorization to capture data from the web applications you test.

7. AI-Powered Features

The Service uses artificial intelligence (currently Google Gemini) to process your feedback, suggest issue descriptions, detect duplicates, and assist with product understanding. You acknowledge that:

  • When using JAX's chat features, you are interacting with an artificial intelligence system, not a human agent. This disclosure is provided in accordance with the EU AI Act transparency requirements.
  • AI-generated content is provided on an "as is" basis and may contain errors, inaccuracies, or incomplete information.
  • You are responsible for reviewing and validating any AI-generated output before acting on it or submitting it to third-party systems.
  • AI outputs do not constitute professional advice of any kind.
  • We may change AI providers or models at any time without prior notice. Such changes do not alter these Terms.
  • User Content may be sent to third-party AI providers for processing. We select providers that offer appropriate data protection commitments, but you should not submit data through the Service that you are not comfortable being processed by third-party AI systems.

8. Third-Party Integrations

The Service integrates with third-party task management platforms (such as Linear, Jira, and Asana). When you connect a third-party service:

  • You authorize JAX to interact with that service on your behalf, including reading and creating issues.
  • You are responsible for complying with the terms of service of the connected third-party platform.
  • We are not responsible for the availability, accuracy, or security of third-party services.
  • You may revoke integration access at any time through your JAX dashboard settings.

9. Subscription and Payment

Certain features of the Service may require a paid subscription. If you subscribe to a paid plan:

  • Fees are billed in advance on a monthly or annual basis as selected at the time of purchase.
  • All fees are non-refundable except as required by applicable law or as explicitly stated in our refund policy.
  • We may change pricing with at least 30 days' prior notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
  • Failure to pay may result in suspension or downgrade of your account.

Right of withdrawal (EU consumers): Under the EU Consumer Rights Directive, you have a 14-day right of withdrawal from the date of purchase. By using the Service immediately after subscribing, you expressly consent to the Service being provided before the withdrawal period expires and acknowledge that you lose your right of withdrawal once the Service has been fully performed during that period.

10. Intellectual Property

The Service, including its design, code, logos, trademarks, documentation, and all related intellectual property, is and remains the exclusive property of VectorLabs s.r.o. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use it in accordance with these Terms.

You may not copy, modify, distribute, sell, or lease any part of the Service or its content, nor may you reverse-engineer or attempt to extract the source code unless applicable law expressly permits it.

Feedback. If you provide suggestions, ideas, or other feedback about the Service ("Feedback"), you grant VectorLabs a perpetual, worldwide, royalty-free license to use, modify, and incorporate that Feedback into the Service without obligation to you.

11. Data Protection and Privacy

Our collection and processing of personal data is governed by our Privacy Policy, which forms an integral part of these Terms.

As a Czech company operating within the European Union, we comply with the General Data Protection Regulation (GDPR) and applicable Czech data protection legislation. Where we process personal data on your behalf (as a data processor), we will enter into a Data Processing Agreement upon request.

12. Service Availability and Modifications

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. We reserve the right to:

  • Modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where practicable.
  • Perform scheduled and unscheduled maintenance that may temporarily affect availability.
  • Update these Terms from time to time. Material changes will be communicated via email or through the Service. Continued use after changes take effect constitutes acceptance.

13. Limitation of Liability

To the maximum extent permitted by applicable law, VectorLabs s.r.o. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Service.

Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or willful misconduct.

14. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will meet your requirements, that AI-generated outputs will be accurate or complete, or that defects will be corrected in any specific timeframe.

15. Indemnification

You agree to indemnify and hold harmless VectorLabs s.r.o., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your use of the Service.
  • Your violation of these Terms.
  • Your violation of any rights of a third party, including intellectual property rights.
  • User Content you submit through the Service.

16. Termination

You may terminate your account at any time by contacting us at hello@vectorlabs.cz or through the account settings in the dashboard.

We may suspend or terminate your access at any time if you breach these Terms, if required by law, or if we discontinue the Service. We will make reasonable efforts to provide advance notice unless the termination is due to a violation of these Terms.

Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our Privacy Policy and applicable data retention requirements. You may request an export of your data before termination.

17. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Czech Republic, without regard to its conflict of law provisions.

Any disputes arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of the Czech Republic.

If you are a consumer residing in the European Union, you retain any mandatory consumer protection rights granted under the laws of your country of residence. You may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

18. General Provisions

  • Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and VectorLabs regarding the Service.
  • Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.
  • Waiver. Failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
  • Assignment. You may not assign your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
  • Force Majeure. We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, government actions, or internet/infrastructure failures.
